Welcome to Toryx. These Terms of Service ("Terms") are a legal agreement between you and Toryx Inc ("Toryx," "we," "us," or "our"). By creating an account, accessing our website at www.toryx.ai, using our chat interface, or calling our API, you agree to these Terms. If you do not agree, do not use our services.
We are a Delaware corporation headquartered in New Jersey. We build and operate AI models that power a consumer chat interface and a developer API (together, the "Services").
1. Who can use Toryx
You must be at least 13 years old to use Toryx. If you are between 13 and 18, you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Services on behalf of a minor, the parent or guardian accepts full responsibility for the minor's activity.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Your account
You need an account to use most features of Toryx. You agree to provide accurate information when registering, keep your login credentials confidential, and notify us promptly at support@toryx.ai if you suspect unauthorized access. You are responsible for all activity under your account.
3. What you can and cannot do
You may use the Services for lawful personal, educational, commercial, or development purposes in compliance with these Terms.
You may not:
- Use the Services for any illegal, harmful, or fraudulent purpose
- Generate content that exploits minors, promotes violence, or constitutes harassment
- Attempt to reverse-engineer, extract weights from, or replicate our AI models
- Misrepresent AI-generated output as human-created in contexts where such disclosure is required by law or would be deceptive
- Circumvent rate limits, access controls, or safety filters
- Use the Services to develop a competing AI model or training dataset
- Interfere with or disrupt the Services or their infrastructure
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Content ownership and AI training
Your input. You retain all rights to the content you submit to the Services ("Input").
AI output. Subject to these Terms, Toryx assigns to you all of its right, title, and interest—if any—in content generated by the Services in response to your Input ("Output"). Because of how AI models work, Output is not unique: other users may receive substantially similar or identical Output. Our assignment does not extend to Output generated for other users.
Important note on copyright. Under current U.S. law, purely AI-generated content without substantial human creative contribution may not be eligible for copyright protection. You are responsible for determining the intellectual property status of any Output you use.
AI model training. If you use the Services on a free plan, you acknowledge and agree that your content may be used to improve our AI models. We take steps to anonymize and de-identify content before it enters a training pipeline. Paid plan subscribers are excluded from training by default. Feedback. If you voluntarily provide suggestions, ideas, or feedback about the Services, we may use them without restriction or compensation.
5. API terms
This section applies to developers who access our Services through the Toryx API.
API keys. Your API keys are confidential credentials. Do not share, publish, or embed them in client-side code. You are responsible for all usage under your API keys. If you believe a key has been compromised, revoke it immediately in your dashboard and contact support@toryx.ai.
Rate limits. We enforce rate limits on API requests. Current limits are published in our API documentation. We may adjust these limits at any time. Do not attempt to circumvent rate limits through any means.
Abuse and revocation. We reserve the right to throttle, suspend, or permanently revoke API access for any account that violates these Terms, exceeds usage limits, or engages in abusive behavior—including but not limited to automated scraping, denial-of-service patterns, or generating prohibited content.
Your downstream responsibilities. If you build applications or services on top of the Toryx API, you are solely responsible for your own end-user terms, privacy policies, and legal compliance. You must ensure your end users comply with our acceptable use requirements. You may not represent to your users that Toryx endorses, certifies, or guarantees your application.
6. Paid plans and billing
We are finalizing our pricing. When paid plans become available, this section will be updated. The following terms will apply to any paid features:
If you subscribe to a paid plan, you agree to pay all fees associated with your selected plan. Fees are billed in advance and are non-refundable except as required by law. We will charge the payment method you provide on file.
We may change pricing with at least 30 days' notice before your next billing cycle. Continued use after a price change constitutes acceptance. If your payment fails, we may downgrade or suspend your account until payment is resolved.
7. Accuracy disclaimer and assumption of risk
Toryx is an AI system, not an expert. Our models generate responses by predicting likely text sequences based on patterns in training data. Output may be inaccurate, incomplete, outdated, or entirely fabricated ("hallucinations"). You should not rely on Output as a sole source of truth, factual authority, or substitute for professional advice (legal, medical, financial, or otherwise).
You are solely responsible for evaluating and verifying the accuracy, appropriateness, and legality of any Output before using it. References to third parties, products, or organizations in Output do not imply any endorsement by or affiliation with Toryx.
8. Disclaimers and limitation of liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated content.
We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any content will be preserved without loss.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORYX'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TORYX IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
IN NO EVENT WILL TORYX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In those jurisdictions, the limitations above apply only to the fullest extent permitted by applicable law.
9. Intellectual property complaints
We respect intellectual property rights. If you believe content on the Services infringes your copyright or other IP rights, send a written notice to ip@toryx.ai with: (a) a description of the protected work, (b) identification of the allegedly infringing content, (c) your contact information, and (d) a statement that you have a good-faith belief the use is unauthorized. We will review and respond to valid complaints promptly.
10. Termination
You may stop using the Services and delete your account at any time through your account settings or by emailing support@toryx.ai.
We may suspend or terminate your access if we reasonably believe you have violated these Terms, if required by law, or if continued access poses a risk to the Services or other users. Where practicable, we will provide notice and an opportunity to cure before termination.
Upon termination, your right to use the Services ends immediately. Sections of these Terms that by their nature should survive (including Sections 4, 7, 8, 10, and 11) will continue in effect.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Hudson County, New Jersey, and you irrevocably consent to the personal jurisdiction and venue of such courts.
There is no mandatory arbitration under these Terms. Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@toryx.ai for at least 30 days.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will post the revised Terms with a new effective date and, where feasible, notify you by email or through the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance. If you disagree with revised Terms, you should stop using the Services and delete your account.
